These Carrier Terms & Conditions (“Terms”) govern all transportation services arranged by Freightmex Logistics (“Freightmex,” “we,” “us,” or “our”) with any contracted motor carrier (“Carrier,” “you,” or “your”). By accepting and transporting any load tendered by Freightmex Logistics, the Carrier agrees to be bound by these Terms in their entirety. These Terms apply to all shipments arranged by Freightmex Logistics, whether or not a separate written rate confirmation, load confirmation, or other agreement has been executed.

Purpose and Scope

Freightmex Logistics is a federally licensed freight brokerage company authorized by the Federal Motor Carrier Safety Administration (“FMCSA”) under Docket No. __. Freightmex arranges transportation of property by duly authorized motor carriers for its customers. These Terms establish the legal responsibilities, performance standards, and operating requirements applicable to all carriers providing services for Freightmex Logistics.

The Carrier acknowledges that it performs transportation services as an independent contractor, not as an employee, agent, or representative of Freight Mex Logistics. The carrier operates under its own motor carrier authority and assumes full control, responsibility, and liability for the operation of its vehicles, drivers, and business practices.

 

Broker’s Role and Limitation of Liability

Freightmex Logistics operates strictly as a property broker, arranging transportation of goods through authorized motor carriers as defined by 49 U.S.C. §13102(2) and 49 C.F.R. §371.2. Freightmex does not assume possession, custody, or control of freight at any time and shall not be held liable for cargo loss, damage, or delay caused by the Carrier, its drivers, agents, or subcontractors.

Freightmex’s sole obligation is to use due diligence in selecting carriers that are properly authorized, insured, and compliant with applicable federal and state laws. Freightmex is not responsible for any operational, mechanical, or service-related failures occurring during transport.

Carrier Qualification and Compliance

All Carriers must maintain an active FMCSA Motor Carrier Authority and possess a satisfactory safety rating. The Carrier agrees to comply with all applicable laws and regulations under the FMCSA, DOT, and any state or local transportation authorities.

Prior to performing services, the Carrier shall provide Freightmex with the following documentation:

A copy of its Operating Authority Certificate (MC Permit)

A valid W-9 Form

Current Insurance Certificates listing Freightmex Logistics as a certificate holder

Any suspension, revocation, or downgrade of authority or safety rating must be reported immediately to Freightmex Logistics. Failure to maintain compliance may result in suspension of business or permanent removal from the Freightmex carrier network.

Equipment, Safety, and Driver Requirements

All Carriers must maintain an active FMCSA Motor Carrier Authority and possess a satisfactory safety rating. The Carrier agrees to comply with all applicable laws and regulations under the FMCSA, DOT, and any state or local transportation authorities.

Prior to performing services, the Carrier shall provide Freightmex with the following documentation:

Current Insurance Certificates listing Freightmex Logistics as a certificate holder

Any suspension, revocation, or downgrade of authority or safety rating must be reported immediately to Freightmex Logistics. Failure to maintain compliance may result in suspension of business or permanent removal from the Freightmex carrier network.

Insurance and Liability Requirements

The Carrier must maintain the following minimum levels of insurance coverage at all times while performing transportation services under these Terms:

Automobile Liability: $1,000,000 combined single limit per occurrence (or $750,000 if permitted under FMCSA).

Cargo Insurance: $100,000 minimum coverage per shipment, protecting against loss or damage from theft, collision, fire, or negligence.

Workers’ Compensation and Employer’s Liability: As required by applicable state law.

The Carrier is fully responsible for cargo from the moment it takes possession until delivery. The Carrier assumes all risk for loss, damage, theft, contamination, or delay and agrees to indemnify and hold Freightmex Logistics harmless from any and all claims, demands, or losses related thereto.

Failure to maintain proper insurance coverage constitutes a material breach of these Terms and may result in immediate suspension from the Freightmex network.

Freight Handling, Delivery, and Reporting

The Carrier must handle, transport, and deliver freight in accordance with industry best practices, ensuring on-time pickup and delivery as scheduled by Freightmex Logistics.

In the event of any delay, accident, breakdown, or incident affecting delivery, the Carrier must immediately notify Freightmex Logistics, providing a detailed status update and estimated resolution time.

The Carrier must secure all loads properly, protect them from weather exposure, and prevent damage or theft during transit. Any cargo loss, damage, or incident must be reported immediately, accompanied by relevant documentation such as photos, inspection notes, and police reports if applicable.

Unauthorized subcontracting, re-brokering, or double brokering is strictly prohibited. Any Carrier found engaging in such conduct will be permanently disqualified from working with Freightmex and held financially liable for all resulting damages and claims.
